- Conduct an annual audit of all research processes and disclosures.
- Ensure all advertising adheres strictly to the Advertisement Code for Research Analysts.
- Record-Keeping
- Maintain records of all client interactions—both existing and prospective—wherever any conversation related to research services takes place.

- Onboarding of Clients
- Share terms and conditions of research services at the outset.
- Complete KYC formalities for fee-paying clients.
- Mandatory Disclosures to Clients
- Disclose all material information that will enable informed investment decisions, including:
- Nature of business activities.
- Any disciplinary history.
- Terms and conditions of research services.
- Details of related entities or associates and any potential conflicts of interest.
- Risks inherent to the investment recommendations.
- Extent of Artificial Intelligence (AI) tools used in research processes.
- If distributing a third-party report, disclose any material conflicts of interest of that third party or provide a direct link to their disclosures.
- Any conflicts of interest arising from the RA’s other activities.
- Disclose all material information that will enable informed investment decisions, including:
- Distribution of Research Reports
- Provide research reports and recommendations impartially, without discrimination among clients.
- Maintain confidentiality of report content until the report is made publicly available.

- Respect investors’ data‐privacy rights.
- Implement adequate safeguards to prevent unauthorized access or misuse of confidential client information.
- Service Timelines & Guidance
- Clearly communicate expected timelines for each research service.
- Provide guidance and prominent cautionary notices whenever recommendations involve complex or high-risk financial products.
- Treat all clients with honesty, integrity, and fairness.
- Ensure client information remains confidential unless disclosure is legally mandated or specifically authorized by the client.
Grievance Redressal Mechanism
- Filing a Complaint with the Research Analyst
- In case of any grievance or complaint, an investor should directly approach the designated Research Analyst.
- The RA will aim to resolve the grievance promptly, and in any event, no later than 21 days from the date of receipt.
- Escalation to SEBI’s SCORES Platform
- If an investor is not satisfied with the RA’s resolution, they may lodge a complaint on the SEBI Complaints Redress System (SCORES) at: https://scores.sebi.gov.in
- The RA’s designated supervisory body (RAASB) will conduct a first-level review of the complaint. If unresolved, a second-level review will be conducted by SEBI.
- Alternative Dispute Resolution
- Investors also have the option to file complaints on the SMARTODR platform for online conciliation or arbitration.

Rights of Investors
- Privacy & Confidentiality Investors have the right to expect that their personal and financial information will remain private, except when disclosure is legally mandated or specifically consented to.
- Transparent Practices Investors have the right to full transparency in all dealings—including upfront disclosures of business activities, fees, and potential conflicts of interest.
- Fair and Equitable Treatment Investors should never be discriminated against or shown preferential treatment by the Research Analyst.
- Adequate Information & Initial/Continuing Disclosure Investors have the right to receive, in a timely manner, all statutory and regulatory disclosures regarding the research services, including any material changes in business or conflict-of-interest status.
- Fair & True Advertising Any advertisement or promotional material must be truthful, accurate, and comply with the Advertisement Code for Research Analysts.
- Awareness of Service Parameters & Turnaround Times Investors have the right to know the service timelines for every deliverable (e.g., report issuance, queries, grievance resolution).
- Right to Be Heard & Grievance Redressal Investors have the right to voice complaints or feedback and expect a timely resolution.
- Right to Exit Investors can exit any financial service or product in accordance with the terms and conditions agreed upon with the Research Analyst.
- Guidance & Cautions for Complex/High-Risk Products Investors have the right to receive clear guidance, along with adequate cautionary notices, when dealing in complex or high-risk financial products or services.

- Right to access services in a suitable manner (e.g., for differently abled individuals).
- Right to provide feedback on the financial products and services used.
- Right against coercive, unfair, or one-sided clauses in financial agreements.
Responsibilities of Investors
Do’s
- Verify RA Credentials
- Always deal with a SEBI-registered Research Analyst.
- Ensure the Research Analyst’s registration certificate is valid and note the SEBI registration number (INH000015899).
- Refer to SEBI’s official list of registered Research Analysts at: https://www.sebi.gov.in/…/intmId=14
- Review Disclosures
- Carefully read and understand all disclosures in research reports before making any investment decision.
- Payment Practices
- Pay fees through recognized banking channels only.
- Retain duly signed receipts that specify payment details.
- If the RA has opted in, make payments via Centralized Fee Collection Mechanism (CeFCoM) of RAASB (applicable to fee-paying clients).
- Seek Clarification
- Ask relevant questions and clear all doubts with your Research Analyst—especially when recommendations involve complex or high-risk products.
- Know Your Rights
- You have the right to terminate your relationship with the Research Analyst according to mutually agreed terms.
- Provide feedback on the quality of research and services received.
- You are not bound by any clause that contravenes SEBI regulations.
- Report Misconduct
- Inform SEBI immediately if any Research Analyst offers guaranteed or assured returns.
Don’ts
- Avoid Direct Fund Transfers
- Do not provide investment funds directly to the Research Analyst.
- Beware of Misleading Claims
- Do not fall prey to enticing advertisements, market rumors, or incentives (e.g., “limited period discounts,” gifts) offered by any Research Analyst.
- Protect Account Credentials
- Never share login credentials or passwords for your trading, demat, or bank accounts with the Research Analyst.
